Vellum lets you upload a PDF or image, share a private link, and collect comments and markup on it, tied to each version. By accessing Vellum, creating a review, or leaving feedback, you agree to these terms. If you do not agree, do not use Vellum.
Vellum is for soliciting review, comments and markup on documents you have the right to share. It is not a place to host, publish or distribute documents to the public, to store files long-term, or to use as a content delivery network. Reviews that go quiet are archived, and links that attract unusually heavy traffic are placed on a temporary cooldown.
You agree not to use Vellum to upload, share or post:
We may remove content, revoke a share link, archive a review, or suspend access if we believe these terms are being broken. Anyone can report a review or comment from the share link, and reports are reviewed by a moderator.
You keep ownership of what you upload. You grant Vellum the limited, non-exclusive permission needed to store, process and display it to the people you share the link with, and to operate and secure the service. You represent and warrant that you own or have all rights necessary to upload and share everything you submit, and that doing so breaks no law and infringes no one's rights. You are solely responsible for your content and for who you share a link with.
We may, at our sole discretion and without notice or liability, remove or disable any content, revoke a share link, archive a review, throttle traffic, or suspend or terminate any account or access, for any reason, including a breach (or suspected breach) of these terms. Anyone can report a review or comment from the share link, and reports are reviewed by a moderator.
If you believe content on Vellum infringes your copyright, email abuse@lotlsoft.com with: the work you say is infringed, the Vellum link to the material, your contact details, a statement that you have a good-faith belief the use is not authorised, and a statement under penalty of perjury that the information is accurate and you are authorised to act. We act on valid notices, including removing the content and notifying the uploader, and may terminate repeat infringers.
Vellum is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or uninterrupted or error-free operation. We do not guarantee that files are retained, backed up, or recoverable; keep your own copies. Any analysis or review features are a convenience, not professional, legal, or design advice.
To the maximum extent permitted by law, Vellum and Lotlsoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business, arising out of or relating to your use of (or inability to use) the service, even if advised of the possibility. To the extent any liability cannot be excluded, our total aggregate liability for all claims relating to the service is limited to the greater of the amount you paid us for it in the prior twelve months (which, for a free service, is nothing) or USD 100.
You agree to indemnify and hold harmless Vellum and Lotlsoft from any claims, damages, losses, and costs (including reasonable legal fees) arising out of the content you submit, your use of the service, or your breach of these terms.
We may update these terms from time to time. Continued use of Vellum after a change takes effect means you accept the updated terms.
